TERMS & CONDITIONS


Effective Date: 01/01/2026

These Terms & Conditions govern all quotations, procurement services, sourcing activities, product sales, logistics coordination, and transactions conducted by Sigma Trade Hub (“Sigma,” “Company,” “we,” or “our”). By approving a quotation, purchase order, invoice, payment, or engaging Sigma Trade Hub for procurement-related services, the client (“Client”) agrees to the following terms.

1. QUOTATIONS & PRICING
All quotations are subject to supplier confirmation, product availability, freight adjustments, market fluctuations, manufacturer revisions, tariff changes, and inventory verification at time of order placement.
Quoted pricing is valid only for the stated validity period and may be revised if supplier costs, freight charges, duties, tariffs, exchange rates, or market conditions change prior to final order confirmation.
Sigma Trade Hub reserves the right to correct typographical, specification, pricing, calculation, or administrative errors at any time prior to final acceptance and fulfillment.

2. PROCUREMENT & SOURCING SERVICES
Sigma Trade Hub operates as a procurement, sourcing, coordination, and supply facilitation company. Certain products, materials, equipment, or services may be sourced from third-party manufacturers, distributors, vendors, resellers, wholesalers, or logistics providers.
Sigma does not manufacture all products directly unless explicitly stated in writing.
Product images, brochures, specifications, renderings, dimensions, finishes, and descriptions are provided for general reference and may vary slightly from final delivered products depending on manufacturer revisions or production tolerances.

3. CLIENT RESPONSIBILITIES
Client is responsible for reviewing and approving:
- quantities
- specifications
- dimensions
- finishes
- model numbers
- colors
- electrical requirements
- compatibility
- delivery requirements
- site conditions
- installation conditions
before final order approval.
Client assumes responsibility for any errors, omissions, incorrect selections, inaccurate measurements, or approval-related discrepancies once production, procurement, or ordering has commenced.

4. CUSTOM / SPECIAL ORDER ITEMS
Custom, made-to-order, fabricated, modified, personalized, or non-stock items are non-cancellable and non-refundable once production or procurement has begun.
Deposits and progress payments for custom orders are non-refundable unless otherwise agreed in writing.

5. SHIPPING, DELIVERY & LOGISTICS
Estimated lead times and delivery schedules are approximate only and are not guaranteed.
Sigma Trade Hub is not liable for delays caused by:
- manufacturers
- suppliers
- freight carriers
- customs
- port congestion
- labor shortages
- weather
- force majeure events
- material shortages
- transportation disruptions
- government actions
- tariff changes
- third-party logistics failures
Risk of loss may transfer upon shipment, delivery, carrier pickup, or supplier release depending on transaction structure and logistics arrangement.
Client is responsible for inspecting all deliveries immediately upon receipt and reporting shortages, damages, or discrepancies within 48 hours of delivery.
Failure to report within this period may constitute acceptance of goods.

6. RETURNS & CANCELLATIONS
Returns require prior written authorization from Sigma Trade Hub.
Approved returns may be subject to:
- supplier approval
- restocking fees
- freight charges
- handling charges
- return shipping costs
- manufacturer return policies
Special order, custom, clearance, used, installed, modified, or made-to-order items are generally non-returnable unless defective.
Order cancellations after procurement or production initiation may be subject to cancellation fees, supplier penalties, administrative costs, and unrecoverable expenses.

7. PAYMENT TERMS
Payment terms are as stated on the quotation, invoice, or purchase agreement.
Late payments may incur:
- interest charges
- collection costs
- attorney fees
- suspension of deliveries/services
- project delays
Sigma Trade Hub reserves the right to withhold shipments, procurement activity, documentation, scheduling, or releases until outstanding balances are paid.

8. TAXES & GOVERNMENT FEES
Client is responsible for all applicable:
- sales taxes
- use taxes
- duties
- tariffs
- customs fees
- governmental fees
- import/export charges
unless valid exemption documentation is provided prior to invoicing.

9. WARRANTY DISCLAIMER
Manufacturer warranties, if any, are passed through to the client where applicable.
Except as expressly stated in writing, Sigma Trade Hub makes no additional warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

10. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Sigma Trade Hub shall not be liable for:
- indirect damages
- consequential damages
- lost profits
- business interruption
- delay damages
- incidental damages
- installation costs
- labor costs
- operational losses
arising from procurement activities, supply delays, product defects, logistics issues, or third-party performance.
Sigma’s total liability shall not exceed the amount actually paid to Sigma Trade Hub for the specific transaction giving rise to the claim.

11. FORCE MAJEURE
Sigma Trade Hub shall not be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to:
- natural disasters
- war
- terrorism
- pandemics
- strikes
- labor shortages
- freight disruptions
- supplier shutdowns
- governmental restrictions
- utility outages
- cyber incidents
- transportation interruptions

12. GOVERNING LAW
These Terms & Conditions shall be governed by and interpreted under the laws of the State of Michigan, without regard to conflict of law principles.

13. ACCEPTANCE

Approval of any quotation, invoice, payment, purchase order, electronic acceptance, or commencement of work constitutes acceptance of these Terms & Conditions in full.
